The Opportunity

An exciting opportunity has arisen for an experienced corporate governance and legal leader to join CSL as Senior Director, Company Secretariat and Corporate Governance. Reporting to the Company Secretary and Head of Corporate Governance, this highly visible role offers the opportunity to work closely with the Board of Directors, Executive Leadership Team and senior stakeholders across a complex global ASX-listed organisation.

The Role

Managing a team of three (3), you will:

  • Act as a senior adviser and Company Secretary to the Board and Board Committees and support statutory, fiduciary and governance obligations.

  • Support and deputise for the Company Secretary in Board and Committee matters.

  • Lead the evolution of CSL's governance framework, including Board and Committee charters, governance policies and related processes.

  • Monitor governance developments, regulatory changes and emerging best practice.

  • Oversee the Group Policy Framework and Delegations of Authority.

  • Drive consistency and best practice in entity management, statutory compliance and governance standards

  • Provide strategic oversight of continuous disclosure and ASX/ASIC compliance obligations and support complex disclosure and market-sensitive matters.

  • Lead governance aspects of the Annual Report, Corporate Governance Statement and Notice of Meeting.

  • Support the planning and delivery of the Annual General Meeting and shareholder engagement activities.

  • Partner with the General Counsel and broader Legal team to provide advice on corporate and head-office legal matters.

  • Support capital management initiatives, corporate structuring activities and executive remuneration governance.

  • Build trusted relationships with regulators, external advisers, auditors and key stakeholders and mentor and develop governance and legal professionals.

Your skills and experience

To be successful, you will bring:

  • A tertiary qualification in Law and a current practising certificate.

  • A Graduate Diploma of Applied Corporate Governance (or equivalent) will be highly regarded.

  • 8-10 years' post-admission experience gained within a top-tier law firm, listed company, highly regulated organisation or company secretariat environment.

  • 2+ years’ experience as a company secretary or deputy company secretary

  • Extensive experience advising Boards and Board Committees within ASX-listed or comparable governance environments.

  • Experience working across complex multinational organisations and multiple jurisdictions.

  • Deep expertise in corporate law, governance, continuous disclosure and regulatory compliance as well as company secretarial and governance expertise.

  • Membership of the Governance Institute of Australia (GIA) and the Australian Institute of Company Directors (AICD).

  • Strong strategic judgement and commercial acumen.

  • Executive presence with the confidence to influence at board level.

  • A pragmatic, proactive, risk-aware approach to decision making.

  • Outstanding stakeholder management and communication skills.

  • The ability to build trusted relationships across diverse and senior stakeholder groups.
