About the Role
Morningstar requires a detail driven and passionate Compliance Manager, Japan, to lead structuring, maintaining and executing an effective compliance program, provide legal support for the business mainly in Japan, secondarily in South Korea and when and where possible in Asia Pacific region.
This role will have a primary focus on supporting the business team with implementing a robust compliance program, managing regulatory risks and protecting our business interests. The role serves as a key contact for regulators in Japan and will be responsible for interacting with and maintaining relationships with such regulators in Japan.
We are a small team in Asia and are looking for a "hands on" individual who is willing to do a variety of work and will interact with personnel at all levels in Japan and from across Asia Pacific offices. This position reports Chief Compliance Officer APAC - Wealth, Retirement and Research, who is concurrently functioning as head of Japan entities' compliance in Tokyo.
Job responsibilities• Work with Chief Compliance Officer APAC and other Compliance colleagues in implementing, administering and maintaining the compliance program; ensuring management and employees are in compliance with the applicable regulations and that policies and procedures are being followed. (Morningstar currently has Investment Advisory registration in Japan.)• Manage relationships with regulators, clients and external advisers on compliance issues impacting the business.• Conduct compliance training for employees as part of overall effort to foster a firm-wide culture of compliance.• Provide advice to employees on compliance and/or regulatory matters.• Monitor and implement regulatory change impacting the business units.• Develop new or update policies and procedures to ensure ongoing compliance with regulatory requirements applicable to the business units.• Perform compliance monitoring activities along with risk and compliance reviews of activities to ensure compliance with policies and procedures.• Prepare regulatory filings and responses to regulatory examinations on behalf of relevant business units.• Assist the Chief Compliance Officer APAC on work or projects for the APAC region.• Act as Corporate Secretary for Japan entities and prepare for their Board of Directors meetings and other managerial meetings.• Draft and/or review business contracts/agreements, mainly in Japanese and in English, to support business in negotiating terms, conditions and/or contents of business with the clients. Prepare for agreement templates in Japanese and in English that are suitable for regulation and business practice mainly in Japan.
Qualifications • A bachelor's degree in law, finance, accounting, economics or a related field is required.• Between 5 to 7 years compliance experience within the financial services industry regulated by the Financial Services Agency (FSA) of Japan. Experience of inspections by Securities and Exchange Surveillance Commission (SESC) or Kanto Local Financial Bureau (KLFB) of Japan desirable.• Good knowledge of laws and regulations applicable to Morningstar's business mainly in Japan, Financial Instrument & Exchange Act of Japan. Knowledge and experience about privacy and AML management would be a plus.• Experience in drafting, reviewing and negotiating the business agreements in Japanese and English.• Native Japanese and close to effectively bilingual in English.• High degree of professionalism and integrity with demonstrated ability to handle confidential issues in a professional manner.• Strong commitments to both providing support to internal customers (management, businesses, products, etc.) and protecting the company and stakeholders, and a sense of balance to properly demonstrate them.• Creative attitude in finding possible solutions in difficult situation or matters.• Demonstrates sound judgement.• Ability to apply consistently and display a measured and mature approach in critical thinking by being able to independently assemble, evaluate and apply logical reasoning to information.• Significant experience drafting policies and procedures.• Ability to communicate clearly and in a manner proper to the audience in order to inform and/or persuade others; requires the ability to advise, guide, advocate and negotiate in a manner that instils confidence.• Experience performing compliance reviews (e.g. marketing materials, reports, articles, etc.), developing findings and recommendations.• Strong organizational and project management skills with the flexibility and willingness to respond to changing priorities.• Risk management experience desirable.
